Biovail's origins date back to the late 1980s when the Company moved towards specialization in the field of controlled release drug delivery technology. Biovail was one of the first companies in the world to recognize the potential of this emerging sector. With the acquisition of advanced proprietary technologies and the addition of Dr. Arnold Beckett as Chief Scientific Officer, an internationally respected pioneer in controlled-release drug delivery, the Company's operations were consolidated under the name Biovail. Originally, Biovail licensed the controlled-release products early in the development cycle to pharmaceutical companies that controlled the clinical trials, regulatory process, manufacturing and sale of their products in a number of international markets. Since the mid-1990s however, Biovail has controlled the clinical trials, regulatory process, manufacturing, marketing and out-licensing of its own products once they have reached an advanced stage of development. The Company’s position of leadership as an innovative developer of medicines is based on its use of advanced drug delivery technologies that provide significant therapeutic advantages over existing formulations. The Company has a number of proprietary drug-delivery platforms that can be applied to existing in market drugs to develop enhanced formulations that offer more consistent drug release, greater patient compliance and potentially, superior efficacy and lower incidence of side effects. Their Corporation is incorporated in Ontario, Canada. At the Company's Annual and Special Meeting of Shareholders on June 28, 2005, Biovail's shareholders approved the continuance of the Company under the Canada Business Corporations Act . Biovail focuses on the development and commercialization of products primarily in its core therapeutic categories, including cardiovascular disease; central nervous system disorders; pain management; and other niche areas. The Company's strong position in the pharmaceuticals industry can also be attributed to the depth of its pipeline of products. The Company believes that the market potential of products in its research-and-development pipeline are key to its strategy for future success and sustainable growth. Additionally, Biovail selectively invests in strategic technology partnerships, early-stage development companies and has made acquisitions that add to Biovail's core operations. Biovail controls all facets of its research and development efforts, including formulation development, clinical studies, regulatory submissions and manufacturing.
